These terms summarize the Rental Services Agreement used by Houston Furniture Rentals (“HFR”). Every rental is governed by the signed Rental Services Agreement, the attached HFR invoice and/or design boards, and any written change orders. If anything on this page differs from your signed agreement, the signed agreement controls.
Your agreement
- A rental is a lease, not a sale or financing agreement.
- The agreement is an offer by the customer (the “Lessee”). It becomes binding only when signed by an authorized HFR representative, and is valid from the date of HFR’s countersignature.
- HFR may decline an order after credit review.
- No delivery is scheduled until HFR has countersigned and the total due prior to delivery has been paid.
- If a Billing Agent (for example, an apartment community) is named to receive invoices and pay on the Lessee’s behalf, the Lessee remains the customer and remains solely liable for all amounts due. Payment by a Billing Agent does not transfer any tax exemption.
- If the Lessee is an entity or organization, or the on-site occupant is not the Lessee, HFR may require an individual to personally guarantee payment and performance.
Rental term
- Each rental has a minimum term stated in the agreement.
- If the furniture remains at the premises after the minimum term, the rental continues month to month.
- Either party may end a month-to-month rental by written notice delivered at least fifteen (15) days before the intended termination date. Notice may be given before the minimum term ends so that pickup occurs on the end date.
Your furniture
The Leased Products are the items shown on the HFR invoice and/or design boards attached to the agreement. Those attachments, together with delivery photos, control the exact inventory delivered. HFR may substitute a comparable item of equal or greater quality only if a listed item is unavailable, and notes the substitution on the invoice, design board, or delivery ticket.
Payments, deposits, and fees
- No security deposit. HFR does not collect a separate security deposit.
- Initial payment. The initial payment is prepaid rent (typically three months), due before delivery, and is applied to the rental term. Prepaid rent already paid is nonrefundable.
- Included delivery. Standard delivery and pickup during scheduled business hours are included in the initial charges.
- Damage waiver. Unless you provide qualifying insurance (see below), a damage-waiver fee of 10% of the monthly rental is charged with each monthly payment.
- Sales tax. Rentals are subject to Texas state sales tax and applicable local sales or use tax, currently combined up to 8.25%, unless a valid exemption applies. Tax is in addition to rental charges. An exemption is allowed only if valid exemption documentation acceptable to HFR is presented at or before signing.
- Payment method on file. A current credit card or ACH account must be kept on file. HFR charges it for monthly rent, tax, damage-waiver fees, delivery and pickup charges, trip fees, damage, replacement value of unreturned items, late charges, and other amounts due under the agreement.
- Late payments. A payment not received within five (5) days after the due date incurs a late fee of 10% of the amount then due. Past-due amounts also accrue simple interest of 1.5% per month (18% per year), not compounded, where allowed by law.
- Additional fees (only if incurred). These are not due at signing and are charged later only if the service is requested or the event occurs: after-hours, weekend, or rush delivery or pickup; stair, long-carry, or no-elevator service; a dry-run / failed-access trip fee; and a declined / returned payment fee. Amounts are quoted before the work is performed or billed at HFR’s then-current rate.
Delivery and pickup
- You provide, at your expense, building access, elevator reservation, loading-dock clearance, parking, and an on-site contact for delivery and pickup.
- You are responsible for building rules, HOA or apartment charges, and any damage to the premises caused by delivery or pickup other than HFR’s gross negligence.
- If HFR is refused entry or cannot complete delivery or pickup after reasonable notice, rent continues to accrue and HFR may charge the dry-run / failed-access trip fee.
- Delivery photos and the attached invoice and/or design boards are conclusive of quantity and condition unless you object in writing within forty-eight (48) hours after delivery.
Use and care
- Title to the furniture remains with HFR.
- Keep the furniture in good condition, ordinary wear excepted.
- Do not remove the furniture from the delivery address without HFR’s prior written consent. If HFR cannot recover items after an unauthorized move, you pay HFR’s then-current retail replacement value for those items, in addition to other amounts due.
- The furniture may not be used outdoors, smoked on or around, or used for commercial filming or events without HFR’s prior written consent.
- Keep the furniture free of levies, attachments, and liens.
- At the end of the term, return the furniture in the same condition as received, ordinary wear excepted. Items not returned, or returned destroyed or missing pieces, are charged at HFR’s then-current retail replacement value.
Damage waiver and insurance
You either (a) carry property insurance covering the full replacement value of the furniture, naming HFR as loss payee, and provide a certificate acceptable to HFR, or (b) pay the damage-waiver fee of 10% of the monthly rental with each monthly payment.
- The waiver covers accidental damage from a natural disaster (fire, flood, windstorm, or similar covered peril).
- The waiver does not cover theft, disappearance, mysterious loss, pets, smoke, burns, stains, missing pieces, outdoor use, or damage caused by negligence, misuse, or unauthorized relocation.
- Uncovered loss is charged at HFR’s then-current retail replacement value.
- You may cancel the waiver at any time by delivering an acceptable certificate of insurance.
Ending early
If you end the lease before the minimum term expires, or HFR terminates for default, the following are immediately due:
- unpaid rent, tax, fees, and charges accrued through the date the furniture is actually returned to HFR;
- as liquidated damages and not as a penalty, 100% of the remaining unpaid rent for the minimum term (the “Remaining Commitment”), with prepaid rent applied so you are not charged twice for the same period; and
- HFR’s then-current retail replacement value only for items that are not returned or that are destroyed or missing pieces.
You are not required to pay both replacement value and remaining rent on the same item if that item is returned in good condition. After the minimum term, the Remaining Commitment does not apply to months that have not yet begun; you owe only accrued charges plus the 15-day notice period.
Default
- You are in default if you fail to pay any amount when due, move the furniture without consent, fail to provide access, or fail to perform any other term, and do not cure within fifteen (15) days after notice (or immediately if the furniture has been removed from the premises). A bankruptcy or receivership filing by or against you is also a default.
- On default HFR may terminate the agreement, accelerate amounts due, charge the payment method on file, and recover the furniture. HFR gives reasonable notice and coordinates pickup with you, the occupant, and building management, and will not enter an occupied dwelling by self-help or without required consent.
- You pay HFR’s reasonable costs of enforcement, including reasonable attorney’s fees.
Warranties and limitation of liability
HFR will deliver the furniture in good condition. HFR makes no other warranties, express or implied, and specifically disclaims any warranty of merchantability or fitness for a particular purpose. HFR is not liable for incidental or consequential damages, including delay, lost use, hotel or apartment charges, or lost profits. HFR’s total liability for failure to deliver is limited to a credit of the daily rental for each day the package was not delivered. This limit does not apply to HFR’s gross negligence or willful misconduct.
Notices
Notices must be in writing and may be delivered by hand, overnight courier, or email. Keep your email address on file current.
Governing law
The agreement is governed by the laws of the State of Texas and is performed in Harris County, Texas. Exclusive venue is in the state or federal courts in Harris County, Texas. If any provision is held unenforceable, the remainder remains in effect. Changes must be in a writing signed by HFR.
